Copyright Agreement

Eminence owns the copyright to Eminence Organic Skin Care marketing materials described in the enclosed list of MATERIALS DEFINITIONS and is willing to allow Reseller to use such materials under the terms herein set forth.

Eminence and Reseller agree as follows:

  1. Eminence hereby grants Reseller a non-exclusive revocable right to use certain materials described in MATERIALS DEFINITIONS, and such other text or images for which Eminence grants express permission, solely for the purpose of identifying Reseller as an affiliate of Eminence and to assist in generating product sales.
  2. Reseller may not modify the graphic image or text or any other of Eminence images, in any way.
  3. Reseller may in whole or in part incorporate text only into other works (herein referred to as “Derivative Works”) for Reseller internal use only.
  4. Eminence reserves all rights, titles and interest in the graphic image and in text, any other images, trade names and trademarks.
  5. Eminence shall own the copyright in the Derivative Works.
  6. Reseller agrees to follow Eminence’s trademark guidelines, as those guidelines may change from time to time.
  7. This Agreement shall be construed and enforced in accordance with the laws of Canada.
  8. Eminence may revoke Reseller status at any time by giving written notice, in which case Reseller status will immediately terminate and Reseller will immediately return all materials, which are subject to the license to Eminence. All other terms of this agreement will survive termination.

MATERIALS DEFINITIONS (includes both print format as well as digital):

  • AD SLICKS – An advertising term used to describe the final, camera-ready advertisement. It gets its name from the glossy paper on which it is printed. Similar to a printed and illustrated poster but it is smaller in size.
  • BOOKLETS / CATALOGS – A series of printed pages bound together. The contents may be an advertising message, instructions for product use, or detailed information concerning services or products.
  • BROCHURES – A folded leaflet with an advertising or promotional message.
  • FLYER – A handbill or loose sheet with a printed advertisement.
  • GRAPHIC DESIGN – Any form of visual artistic representation.
  • INSERT – A printed sheet or sheets inserted into a publication or enclosed with a mailing.
  • LOGO – A recognizable graphic designed element, representing an organization or product.
  • MANUAL – A series of printed pages. It may be supplied in a binder or as a series of loose leaf pages, either in whole or in individual subsections. The contents are educational material including ingredients and instructions for product use.
  • NEWSLETTER / NEWS SHEET – Report or open letter giving informal or confidential news of interest to selected parties.
  • PAMPHLETS – An unbound booklet. It may consist of a single sheet of paper that is printed on both sides and folded in half, in thirds, or in fourths or it may consist of a few pages that are folded in half and stapled at the crease to make a simple book.
  • POSTERS – A large 2ft x 3ft (or other similar size) printed and illustrated placard, bill or announcement that is posted to advertise or publicize something.
  • POST CARDS – A commercially printed card with space on one side for an address and a postage stamp, used for sending a short message through the mail.
  • POST SLICK – A commercially printed card of a final, camera-ready advertisement. It gets its name from the glossy paper on which it is printed. Similar to an Ad Slick or Poster but it is smaller in size.
  • PRESS KIT – A collection of editorial and promotional materials distributed to the media about a person, product or company.
  • PRINT ADVERTISING – Advertising in newspapers, magazines, catalogs or mailers. Usually, print ads use some combination of photographs, illustrations and copy.
  • PRODUCT IMAGE – The representation of the product defined by the general product information.
  • PRODUCT PICTURES – The photograph of a product.
  • SELL SHEET / PROMO SHEET - Full color sheets, also known as promo sheets that create interest and generate sales by attractively showcasing product or service. 
  • TRADE NAME – A word, name, term, symbol, or combination of these, used to identify a business.
  • TRADE MARK Any word, phrase, symbol, design, sound, smell, color, product configuration, group of letters or numbers, or combination of these, adopted and used by a company to identify its products or services, and distinguish them from products and services made, sold, or provided by others.
